This User Agreement is effective for Jan 31, 2007 for all users of GigLeader.com User Terms and Conditions The following describes the terms and conditions for Gigleader´s services: This is the User Agreement for www.gigleader.com owned by Echo Media, Inc. This Agreement will relate the terms and conditions that apply to all users accessing our services under the domain and sub-domains of www.gigleader.com. If you disagree or disapprove of any of the below terms and conditions in this agreement, please do not access or use any of our services. We require that you read, agree and accept all of the terms and conditions listed in this Agreement prior to becoming a member of www.gigleader.com. Also, we may amend this agreement from time to time by posting such amendments on the GigLeader website. All amendments will be effective 30 days after their initial post date on the web site. I. Venue. Gigleader.com is not a booking agent. Gigleader is a venue. Although the web site does provide both users and musicians a place to buy and sell their live entertainment services, Gigleader is venue for this service and not a booking agent. Gigleader is not involved in the actual financial transaction between the buyers and sellers. Because Gigleader is not involved in this manner, Gigleader has no control over the quality, legality and safety of services or items that are advertised on this site. We cannot guarantee the completion of any transaction and are not responsible for the incompletion or dissatisfaction of any transaction between a buyer and seller. II. Claims. Due to the fact that Gigleader is a venue, if a dispute arises with one or more Gigleader users, you agree to release Gigleader.com (parent company, officers, directors, employees, and joint ventures) from any and all claims, demands and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." III. Member Information. Gigleader does not validate or endorse any information provided by its members. All information provided by members is the sole responsibility of such member. You may find user´s information offensive, inaccurate, harmful or deceptive. At all times, we recommend you use caution, common sense and careful planning when dealing with any user on Gigleader. Be especially cautious of any international offers, scams, or deceptions possibly posted by users under false pretense. By using the Site, you agree to such potential risks and waive Gigleader of any responsibility in stated matters. IV. User Accounts and Fraud. Gigleader reserves the right to suspend or terminate any user account on the site, if there is suspicion of fraudulent or deceptive activities. Gigleader also reserves the right to terminate any account that we find to be inappropriate for Gigleader. This will remain at the sole discretion of Gigleader Staff. V. Limitation of Liability. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL GIGLEADER OR ECHO MEDIA INC. BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OR PROFIT, ARISING OUT OF THE USE, OR THE INABILITY TO USE, THE MATERIALS ON THIS SITE, EVEN IF GIGLEADER OR A GIGLEADER AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. VI. Indemnity of Gigleader. By using this site, you agree to indemnify and hold Gigleader.com, Echo Media, Inc., subsidiaries, affiliates, officers, and employees harmless from any claim or demand, including reasonable attorneys´ fees, made by any third party due to or arising out of breach of this User Agreement. VII. Legal. You agree to follow all applicable national and international laws as well as state regulations in regards to Gigleader services when advertising, purchasing or soliciting to purchase live entertainment services or other related services. VIII. No Agency. Gigleader and all users are independent contractors. No agency, partnership or joint venture is created when using the services provided by www.gigleader.com IX. User Membership Options. You can purchase credits online and contact the band directly. You can have Gigleader assist in the booking process. Gigleader will relate information about your event to potential band matches and set up a potential booking for your event. For any successful booking, Gigleader will charge you a booking fee for 5% of the total booking. There is a $25.00 minimum. Gigleader is not responsible for the final transaction between user and entertainer. We recommend, payment be made at the actual time of the event to the entertainer. If the entertainer does not show up or perform at your event, Gigleader will refund the booking fee in its entirety. X. Disclosure. All services for www.gigleader.com are provided by Echo Media, Inc. located at 205. S. Mohican Drive, Knoxville, TN 37923.
